Company restructuring is not a one sizes fits all process; what may be right for one company will be wholly inappropriate for another. Each company will need to be assessed on its own merits to determine the best ongoing strategy.

This may involve a sale of the company or its assets, entering into formal negotiations with creditors to restructure existing outgoings, or a simplification of the company’s operations to increase efficiency and boost profitability..

Company administration can be used to protect a distressed, yet ultimately viable, company from creditors and threats of legal action while a route forward is determined. An insolvency practitioner will be appointed to handle the entire process from start to finish.

While it may not be possible to save the entire company, viable elements of the business will look to be rescued to allow trade to continue. This may involve a sale of company assets to a connected or unconnected party, or a restructuring of the company’s operations or finances to facilitate a return to profitability.

A pre-pack administration involves the sale of company assets to a third party. This is often a company owned by the shareholders of the insolvent business. With a pre-pack process, the sale is negotiated prior to the insolvency practitioner being appointed.

The sale occurs immediately upon the appointment of the insolvency practitioner. Pre-pack administration allows for continuation of trade while also safeguarding employees who will be transferred to the purchasing company.

A Company Voluntary Arrangement (CVA) is a legally-binding repayment plan entered into by an insolvent company and its creditors. At least 75% (by value) of creditors must vote in favour of the CVA before it can be implemented.

An insolvency practitioner will work alongside the indebted company to draw up a CVA proposal which will be presented to affected creditors. Once approved, it becomes legally-binding on all parties.
